A. IMPORTANT NOTICE

We, Dreamlot Pty Ltd & Dreamlot Melbourne Pty Ltd (Dream LOT), is a leading property management company with offices in Australia (Sydney & Melbourne) and China (Shenzhen). Dream LOT App is a smart mobile application we developed with artificial intelligence (AI) technologies to facilitate our clients in managing, renting, leasing, buying, selling of real estate properties.

This is an Agreement under which you agree to become a Dream LOT Landlord Partner / Member of our Dream LOT App. It is made up of this Important Notice, the Details section, the attached Terms and any other document attached to or referred to, including the Dream LOT App & Website Terms and Conditions.

When you confirm and agree to this Agreement, you are entering into a legally binding contract with us.

This Agreement sets out your rights to use our Services provided through our Dream Lot App & Website and the responsibilities you have to comply with as a Landlord Partner / Member.

These responsibilities, including payment of the Landlord Partnership / Membership Annual Subscription Fee OR Any fees that relating to the use of the Dream LOT App & Website, do not depend on how often you use our Services provided through Dream LOT App & Website.

The Landlord Partnership / Membership Fee (if applicable) is an annual subscription fee payable directly to us for 12 months Landlord Partnership / Membership of our Dream LOT App. Landlord Partnership / Membership Fee varies for different types of Partnership / Membership. The Landlord Partnership / Membership Fee has no relevance with your rent or bond, and it will be paid directly to our general business account. The Landlord Partnership / Membership Fee is not required by law when you lease or rent a property.

If you are a tenant, signing-up with Dream LOT App as a Dream LOT Tenant User is a pre-condition to rent properties managed by us. However, you may choose to sign up as Dream LOT App General User without renting from us. No Subscription Fee applies to Dream LOT Tenant or General App User.

You may be entitled to receive LOT Reward Points when you sign up with Dream LOT App, either as a Landlord Partner / Member or as a Tenant or as a General App User. Such earned LOT Points may be spent on all Services provided to you via Dream LOT App pursuant to the Terms. However, no LOT Points earned on Dream LOT App could be withdrawn or redeemed as cash and transferred to your personal bank account.

This Agreement is an ongoing agreement until either we or you terminate it in the way set out in the Terms. You acknowledge that you could only terminate this Agreement by providing written notice of termination of your Landlord Partnership / Membership of Dream LOT App to us.

This Agreement is subject to a seven-days cooling off period. You may cancel this Agreement within SEVEN (7) DAYS from the Start Date by giving us written notice.

Landlord Partner / Member, Tenant App User, General App User with Dream LOT App cannot be transferred to others, and your rights and responsibilities, including payment of Landlord Partnership / Membership Annual Subscription Fee, cannot be assigned to others.

Words in bold type and capitalised first letters are defined in clause 1 of the attached Terms.

THIS AGREEMENT IS SUBJECT TO A 7 DAYS COOLING OFF PERIOD.

Signing: When you confirm and agree to this agreement on Dream LOT Sign Up online form, you are entering into a legally binding contract with us. Dream LOT may also request you to sign this agreement via DocuSign or printed version.

 

C. TERMS

1. Definitions

Agreement: this Agreement as described in the Important Notice.

Details: the part of this Agreement described as “Details”.

Dream LOT: Trading Name as “Dream LOT”. Dreamlot Pty Ltd (ACN 618 825 237) located at: Ground, 50 Miller Street, North Sydney, NSW, 2060, Australia. Dreamlot Melbourne Pty Ltd (ACN 631 178 928).

Dream LOT App & Website Terms and Conditions: the terms and conditions that are referred to in clause 6.

Fees: fees that apply under this Agreement as set out in the Details and referred to in clause 11.
Important Notice: the part of this Agreement described as this.
Landlord Partnership / Membership: a user of Dream LOT App as a Dream LOT Landlord with access to Landlord Services that are referred to in clause 2.2.
LOT Points: points you accrued through using Services on Dream LOT App.
User: A User of Dream LOT App.
Landlord Partnership / Membership Annual Subscription Fee: the Fees you pay to join as a Landlord Partner / Member User of Dream LOT App as referred to under clause 11 and set out in the Details.
Minimum Age: the minimum age to become a Landlord Partner / Member, App User and use the Services referred to in clause 5.
Recommended Rental Price: a price calculated by Dream LOT via using databases provided by CoreLogic (former RP Data) as an indication of average weekly rent price or average selling price of a particular real estate.
Start Date: when this Agreement starts as set out in the Details.
Services: means different services specified for different classes and types of Membership as specified in clause 2 below.
Tenant User: A Tenant User of Dream LOT App as a Dream LOT Tenant with access to Tenant Services that are referred to in clause 2.3
Terms: the part of this Agreement described as the “terms”.

 

2. Partnership classes, Services and Liabilities

2.1. There shall be three classes of Landlord Partnerships / Memberships which you may elect when you join Dream LOT App as a Landlord Partner / Member. Different services are provided to the three classes as prescribed below.
2.1.Landlord Partnership / Membership

(a) You may elect to join Dream LOT App as a Dream LOT Landlord and obtain your Landlord Partnership / Membership.
(b) There are three types of Landlord Partnership / Membership that you are able to choose: GREEN, GOLD and BLACK.
(c) GREEN owners are committed to liabilities and are entitled to services as follows:
i. transfer or authorise us exclusive leasing/management authority over at least one property you own for a minimum term of 12 months, including but not limited to entering into a leasing agreement and an exclusive leasing authority with us;
ii. commit to provide 90 days written notice if you wish to terminate any leasing agreement and any exclusive leasing/management authority you enter into with us; *
iii. free access to make booking to lease for short-term staying;
iv. free access to apply for long-term renting and free access to track progress with the renting application;
v. free access to apply for long-term renting and free access to track progress with the renting application;
vi. free access to make offers online, or make reservations, or send express of interest for properties listed for sale;
vii. free access to register for auction scheduled for properties listed for sale;
viii. free access to upload and post photos, videos to your own account and view other App Users’ posts;
ix. free access to message, comment, chat with other App Users;
x. free 24 hours 7 days a week access to property management tools;
xi. for your leasing/managing with us, you will enjoy an annual management fee in the sum of 5.5% of the annual rent (Inc. GST) for each property you lease/manage with us;
xii. for your leasing/managing with us, you will enjoy a letting fee calculated as 1.5 weeks’ rent plus GST of the property you lease/manage with us;
xiii. for your leasing/managing with us, you will enjoy free photograph, tenant record check, tenancy agreement preparation, 2 annual inspections, annual report preparation, renewal of contract, and monthly administration
regarding the property you lease/manage with us;
xiv. for your leasing/managing with us, you will enjoy advertising of your property at a price of $220 per each advertising;
xv. for your leasing/managing with us, you may choose us to act on your behalf in dealing with rental disputes in NSW Civil and Administrative Tribunal (NCAT) OR Victorian Civil and Administrative Tribunal (VCAT) at a rate of
AUD $50.00 per hour plus GST.
(d) GOLD owners are committed to liabilities and are entitled to services as follows:
i. transfer or authorise us exclusive leasing/management authority over at least one property you own for a minimum term of 24 months, including but not limited to entering into a leasing agreement and an exclusive leasing/man- agement authority with us;
ii. enjoy 90 days period during which you may terminate your leasing agreement, exclusive leasing/management authority and/or GOLD Landlord Partnership / Membership with us with no additional charges, fees or costs; *
iii. free access to real estate information including short-staying and long-term properties for lease lists and properties for sale lists and reports available on Dream LOT App;
iv. free access to make booking to lease for short-term staying;
v. free access to apply for long-term renting and free access to track progress with the renting application;
vi. free access to make offers online, or make reservations, or send express of interest for properties listed for sale;
vii. free access to register for auction scheduled for properties listed for sale;
viii. free access to upload and post photos, videos to your own account and view other App Users’ posts;
ix. free access to message, comment, chat with other App Users;
x. free 24 hours 7 days a week access to property management tools plus live chat with AI services and live chat with our customer service team;
xi. free access to information about our partners/members events;
xii. for your leasing/managing with us, you will enjoy an annual management fee in the sum of 4.4% of the annual rent (Inc. GST) for each property you lease/manage with us and an annual management fee in the sum of 2.2% of
the annual rent (Inc. GST) for the first 12 months for each property you lease/manage with us;
xiii. for your leasing/managing with us, you will enjoy a letting fee calculated as 1.5 weeks’ rent plus GST of the property you lease/manage with us;
xiv. for your leasing/managing with us, you will enjoy our 8 weeks’ rent-out guarantee where we will pay you a weekly sum calculated as 80% of the Recommended Rental Price of your property starting at the 9th week from the
date that we start to advertise your property in case that the property is still not leased out by then. However, this Service is conditioned upon your agreement to rent at our Recommended Rental Price and your consent to adopt our advertising campaign strategies, and our payment of such weekly sum shall cease when the property is leased out;
xv. for your leasing/managing with us, you will enjoy free photograph, tenant record check, tenancy agreement preparation, 2 annual inspections, annual report preparation, renewal of contract, and monthly administration re- garding the property you lease/manage with us;
xvi. for your leasing/managing with us, you will enjoy one free advertising per annual and a price of $220 per advertising for any additional advertisement;
xvii. for your leasing/managing with us, you may choose us to act on your behalf in dealing with rental disputes in NSW Civil and Administrative Tribunal (NCAT) OR Victorian Civil and Administrative Tribunal (VCAT) at a rate of
AUD $50.00 per hour plus GST.
(e) BLACK owners are committed to liabilities and are entitled to services as follows:
i. transfer or authorise us exclusive leasing/management authority over at least two properties you own and for a minimum term of 24 months for each of your property, including but not limited to entering into a leasing agreement and an exclusive leasing/management authority with us;
ii. enjoy 90 days period during which you may terminate your leasing agreement, exclusive leasing/management authority and/or BLACK Landlord Partnership / Membership with us with no additional charges, fees or costs; *
iii. free access to real estate information including short-staying and long-term properties for lease lists and properties for sale lists and reports available on Dream LOT App;
iv. free access to make booking to lease for short-term staying;
v. free access to apply for long-term renting and free access to track progress with
the renting application;
vi. free access to make offers online, or make reservations, or send express of
interest for properties listed for sale;
vii. free access to register for auction scheduled for properties listed for sale;
viii. free access to upload and post photos, videos to your own account and view other App Users’ posts;
ix. free access to message, comment, chat with other App Users;
x. free 24 hours 7 days a week access to property management tools plus live chat
with AI services and live chat with our customer service team;
xi. free access to information about our partners/members events;
xii. free access to information about our exclusive partners/members events;
xiii. free financial year tax return services on Investment Properties which are under Dream LOT’s Property Management when you select Dream LOT recommended
Accountant Services;
xiv. free one set of CoreLogic reports of your properties you are leasing/managing
with us per annum;
xv. for your leasing/managing with us, you will enjoy an annual management fee in
the sum of 4.4% of the annual rent (Inc. GST) for each property you lease/manage with us and an annual management fee in the sum of 2.2% of the annual rent (Inc. GST) for the first 12 months for each property you lease/manage with us;
xvi. for your leasing/managing with us, you will enjoy a letting fee calculated as 1 weeks’ rent plus GST of the property you lease/manage with us;
xvii. for your leasing/managing with us, you will enjoy our 6 weeks’ rent-out guarantee where we will pay you a weekly sum calculated as 80% of the Recommended Rental Price of your property starting at the 7th week from the date that we start to advertise your property in case that the property is still not leased out by then. However, this Service is conditioned upon your agreement to rent at our Recommended Rental Price and your consent to adopt our advertising campaign strategies, and our payment of such weekly sum shall cease when the property is leased out;
xviii. for your leasing/managing with us, you will enjoy free advertising, professional photograph, tenant record check, tenancy agreement preparation, 4 annual inspections, annual report preparation, renewal of contract, and monthly administration regarding the property you lease/manage with us;
xix. for your leasing/managing with us, you may choose us to act on your behalf in dealing with rental disputes in NSW Civil and Administrative Tribunal (NCAT) OR Victorian Civil and Administrative Tribunal (VCAT) at a rate of AUD $50.00 per hour plus GST.

2.3.Tenant

(a) Dream LOT App Tenant User Access is a free service provided to Dream LOT Tenants.
(b) You may elect to join Dream LOT App as a Dream LOT Tenant and obtain your Tenant App User Access.
(c) Tenant App User is entitled to access to services as follows:
i. free access to real estate information including short-staying and long-term properties for lease lists and properties for sale lists and reports available on Dream LOT App;
ii. free access to make booking to lease for short-term staying;
iii. free access to apply for long-term renting and free access to track progress with the renting application;
iv. free access to make offers online, or make reservations, or send express of interest for properties listed for sale;
v. free access to register for auction scheduled for properties listed for sale;
vi. free access to upload and post photos, videos to your own account and view other App Users’ posts;
vii. free access to message, comment, chat with other App Users;
viii. free 24 hours 7 days a week access to property management tools, including live chat with AI services and live chat with our customer service team;
ix. free access to information about our member events;
x. if you are renting a property through Dream LOT and become an active Tenant App User, you will have free access to key contacts regarding your renting;
xi. if you are renting a property through Dream LOT and become an active Tenant App User, you will have free access to property report and inspection reports regarding the renting property;
xii. if you are renting a property through Dream LOT and become an active Tenant User, you will be able to redeem and use LOT Points for partial payment of rent or bills. However, we may from time to time change (at our rea-
sonable direction) how LOT Points are to be redeemed and used for payment of our Services through Dream LOT App.

2.4. Upon joining User of Dream Lot App, each User may be entitled to receive LOT Points in their account.
2.5. LOT Points could only be redeemed and used to pay for Services on Dream LOT App. No User, either Landlord or Tenant or General Users, is entitled to redeem LOT Points in cash and transferred to their personal bank account, even upon terminating or cancellation of their Landlord Partnership / Membership or Tenant App User Access or General App User Access.

3. Joining and Access
3.1. When you join Dream LOT App as a User, you will need to give us information noted in the Details and provide us with photographic identification.
3.1. On joining and paying Landlord Partnership / Membership Fee, we will give you an account and temporary log-in password, which you may amend later, that will let you access and use our Dream LOT App and Services provided on the Dream LOT App.

4. Cooling Off
4.1. If you change your mind after joining, you have seven (7) days to cool off or cancel your Landlord Partnership / Membership starting on the Start Date.
4.2. If you elect to cancel your Landlord Partnership / Membership under clause 4.1, we will not charge any fees and any Landlord Partnership / Membership Fee paid already will be refunded.

5. Minimum age
5.1. You must be at least 18 years old to become an App User.
5.2. Your Landlord Partnership / Membership or Tenant App User Access or General App User Access may be immediately cancelled if it came to our notice that you break clause 5.1 and any Landlord Partnership / Membership Fee paid already will not be refunded.

6. Dream LOT App & Website Terms and Conditions
6.1. Dream LOT App & Website Terms and Conditions applies to everyone using the Dream LOT App. They can be found at http://www.dreamlot.com/app-and-website-terms/
6.2. Dream LOT App & Website Terms and Conditions form part of this Agreement. You must make sure you read, understand and follow them at all times.
6.3. If you break any of the Dream LOT App & Website Terms and Conditions, we will respond in a way we consider fair and appropriate. For example, in less serious case, we may give you a warning but in serious cases or where you have repeatedly broken Dream LOT App & Website Terms and Conditions, we may suspend, or cancel your Landlord Partnership / Membership, Tenant App User Access, General App User Access. If your breach causes us or another person costs, loss or damages, you agree to pay for these.

7. Privacy
7.1. Your personal information
From when you apply or we have given you the access for Landlord Partnership / Membership or Tenant App User or General App User, you will need to provide us with, and we will have access to personal information about you, in- cluding information relating to your occupation and finances. Your personal information may be:

(a) transferred to and stored in our local offices, even out of Australia, including a country that does not have the same level of privacy protection as Australia; and
(b) disclosed to and used by our local offices, including our overseas local office, for the purpose of allowing you access to Dream LOT App and providing services to you (for example so that we can inform you whether there are properties suitable to you while you are overseas).

7.2. General Consent
By signing this Agreement, you consent to us collecting, using, disclosing and dealing with your personal information in accordance with our privacy policy, in particular, you consent to the transfer and storage of your personal informa- tion outside Australia, and to the disclosure and sue of your personal information to our local offices inside and outside Australia. You can access our privacy policy at http://www.dreamlot.com/privacy-statement/.
7.3. Up to date contact information
You should tell us promptly if you change your contact or if there is a change to other relevant personal information.
7.4. Consent to use your image

8. Transfer
8.1. You must not transfer your Landlord Partnership / Membership or Tenant App User Access or General App User Access to a third party.
8.2. Your account and passport details of Dream LOT App shall not be disclosed to any third party without prior written consent from us.
8.3. If it comes to our knowledge that you break clause 8.2, we will respond in a way we consider fair and appropriate. For example, in less serious case, we may give you a warning but in serious cases or where you have repeatedly bro- ken clause 8.2, we may suspend, or cancel your Landlord Partnership / Membership, Tenant App User Access, General App User Access.

9. When you can end this Agreement
9.1. If you need to cancel this Agreement within the seven (7) days cooling-off period, you need to give us notice in writing in person, by email or post;
9.2. If you need to cancel this Agreement after the seven (7) days cooling-off period has expired, you need to give us notice in writing in person, by email or post, we will need at least 7 business days to complete the termination process;
9.3. If would be useful (but not required) if you complete nay standard documentation, we may have such as a cancellation form and provide your Landlord Partnership / Membership, App User number (if you know it);
9.4. If you do not use our standard documentation, your notice must include your name, address, phone, email, ID details and signature.
9.5. If you cancel your Membership under clause 9.2, Landlord Partnership / Membership Fee paid already may not be refundable as detailed in clause 11.5 below.

10. When we can end this Agreement
10.1. In addition to our other rights under this Agreement, we may cancel your Landlord Partnership / Membership or Tenant App User Access or General App User Access if you breach any obligation under this Agreement that can- not be fixed or if you breach an obligation that can be fixed but you do not fix it in a reasonable time.
10.2. If we cancel your Landlord Partnership / Membership or Tenant App User Access or General App User Access under clause 10.1, your Landlord Partnership / Membership Fees paid already will not be refunded. We may also charge a Cancellation Fee and recover costs, loss or damages caused by your breach.

11. Fees
11.1. The Fees you have to pay are set out in the Details. Some rights and obligations that apply in relation to particular Fees are set out in this clause.
11.2. If you do not make any payment when it is due, your Landlord Partnership / Membership may be suspended, and you could be refused access to Dream LOT App and to Services until all outstanding amounts have been paid.
11.3. Your Landlord Partnership / Membership may also be terminated if any Fees remain unpaid for an extended period. you will still be liable for all unpaid amounts. A Cancellation Fee may also apply.
11.4. Membership Joining Fee

(a) If you are singing up as a Tenant App User, you do not need to pay Any Fee;
(b) If you are singing up as a GREEN Landlord Partner / Member, you do not need to pay Any Fee;
(c) If you are singing up as a GOLD Landlord Partner / Member, you must pay us Annual Subscription Fee in the sum of AUD $99.00 plus GST directly to our business account, and payment of such sum shall not, and will not be re-
garded as payment of rent or bond to us.
(d) If you are singing up as a BLACK Landlord Partner / Member, you must pay us Annual Subscription Fee in the sum of AUD $299.00 plus GST directly to our business account, and payment of such sum shall not, and will not be regarded as payment of rent or bond to us.

11.5. Refund of Landlord Partnership / Membership Fee on Termination

(a) If you have signed up as a GOLD Landlord Partner / Member and have paid us Annual Subscription Fee is the sum of AUD $99.00 plus GST, such AUD $99.00 plus GST will only be refundable on the condition that you have ef- fectively terminate your partnership within 90 days from the date that you sign the exclusive leasing authority (authorities) with us and your property/properties is/are under Dream LOT Property Management Services.*
(b) If you have signed up as a BLACK Landlord Partner / Member and have paid us Annual Subscription Fee is the sum of AUD $299.00 plus GST, such AUD $299.00 plus GST will only be refundable on the condition that you have effectively terminate your partnership within 90 days from the date that you sign exclusive leasing authority (authorities) with us and your property/properties is/are under Dream LOT Property Management Services. *

11.6. If you do not pay a Fee or other amount you owe when due, we can suspend your Landlord Partnership / Membership until all amounts have been paid. This is in addition to our other rights under this Agreement, including those under Clause 10.1 (our right to end agreement)
11.7. We can deduct all Fees and charges that you must pay under this Agreement from any refund we give you.

12. Changes to your Agreement
12.1. We may sometimes make changes to this Agreement, including Dream LOT App & Website Terms and Conditions and our Privacy Statement. If we do this, we will try to do this fairly and by giving you a chance to cancel your Landlord Partnership / Membership or Tenant App User Access or General App User Access if you are adversely affected by the change and do not agree to it.
12.2. We will make reasonable efforts to tell you of any change in advance and when it will take effect. Subject to other Terms, the effective date will generally be at least 30 days from the date we tell you about the change unless it is not practical for us to tell you at this time. Your Landlord Partnership / Membership or Tenant App User Access or General App User Access will be amended from the effective date.

13. Our Liability to you
13.1. Under the Australian Consumer Law, we guarantee that the Services we supply:

(a) are provided with due care and skill;
(b) are reasonably fit for any purpose you have told us you are using the Services for or told us you wish to achieve; and/or
(c) are supplied in a reasonable time.

13.2. under certain legislative provision, however, we can ask to you accept some limitations to the Australian Consumer Law guarantees.

14. Complaints and Feedback
14.1. If you have any concerns about Services we provided through Dream LOT App or anything else in relation to your Landlord Partnership / Membership, Tenant App User Access, General App User Access, you should raise it with us through contacts provided in Dream LOT App or Dream LOT Website.
14.2. If you are uncomfortable about approaching, or do not wish to approach our staff via contacts provided in Dream LOT App or Dream LOT Website, or are not happy with the response given, you may send a complaint to us at:

15. Severability
If an Australian court decides that any part of this Agreement is or becomes illegal, void or unenforceable, that part is deleted, and this does not invalidate the rest of this Agreement.

16. Waiver
If we do not enforce our rights under this Agreement at any time, it does not mean that we may not do so in the future.

17. Entire agreement
You agree that we have not made any representation or promises that you have relied that are not in this Agreement.

18. Applicable Law
The law of the States & Territories set out in the Details applies to this Agreement.
